Public Offer for Tourism Services

This English version is a translation provided for convenience. In case of any discrepancy, the Russian version prevails.

This document is an official public proposal (public offer) of Individual Entrepreneur Olesia Berendeeva (the “Provider” or “Organizer”), registered under the laws of Georgia, to conclude a Contract for tourism services (organization of a signature tour) with any individual (the “Customer” or “Traveler”).

In accordance with Article 329 of the Civil Code of Georgia, full and unconditional acceptance of the terms of this Offer is deemed to be any of the following actions by the Customer: submitting a request on the Website, or making a prepayment or full payment for the Tour. From the moment of acceptance, the Contract is deemed concluded in writing.

1. Provider details

  • Name: Individual Entrepreneur Olesia Berendeeva
  • Identification number (ID): 345864745
  • Registered address: Georgia, Batumi, 30 Zhiuli Shartava Avenue, 1604
  • Contact email: info@wildsoulroutes.com

2. Subject of the Contract

2.1. At the Customer’s request, the Provider undertakes to organize and run a signature tour outside Georgia (the “Tour”) according to the program published on the Website, and the Customer undertakes to pay for these services in the manner and on the terms set out in this Contract.

2.2. The specific Tour program, dates, number of days, list of included services, price and individual cancellation terms are published on the Website on the page of the relevant Tour and form an integral part of this Contract.

3. Booking and payment

3.1. The Customer submits a Tour booking request through the Website or by sending a message to the Provider.

3.2. To secure a place in the group, the Customer undertakes to make a prepayment in the amount stated in the description of the specific Tour within 5 business days of the Provider issuing an invoice. The remaining part of the Tour price is paid within the time and in the manner stated on the Tour page.

3.3. Tour prices on the Website are stated in a foreign currency — US dollars (USD). If the Customer is not a resident of Georgia, payment is made in the Tour currency or in another currency agreed by the parties. If the Customer is a resident of Georgia, payment is made in the national currency of Georgia — Georgian lari (GEL) at the commercial rate of the Provider’s bank on the date the invoice is issued.

3.4. Payment is made by bank transfer (including international SWIFT and SEPA transfers or other available payment systems) on the basis of an invoice issued by the Provider. All fees of correspondent and sending banks related to an international transfer are paid by the Customer. Fees must not reduce the final amount received in the Provider’s account.

4. Specifics of international tours (liability of the parties)

4.1. Flights: international flights from the Customer’s country of residence to the starting point of the Tour and back are not included in the Tour price (unless the program expressly states otherwise). The Customer buys tickets independently. The Provider is not liable for delays, flight cancellations or loss of baggage by airlines.

4.2. Passports and visas: the Customer is solely and fully responsible for having a valid international passport (valid for at least 6 months after the end of the trip) and for obtaining visas to the Tour country. If the Customer is refused a visa or deported at the border, the Provider’s services are deemed not rendered through the Customer’s fault, and refunds are governed by clause 5.2.

4.3. Insurance: the Customer undertakes to take out an international medical insurance policy covering risks for the entire Tour. The Provider is not liable for the Customer’s medical expenses during the Tour.

4.4. Rules of conduct: the Customer must comply with the laws, customs regulations, and local traditions and norms of behavior of the host country. The Provider has the right to exclude the Customer from the Tour without a refund in the event of a gross breach of public order, the laws of the country, or actions that threaten the safety of other group members.

5. Cancellation and refunds (Cancellation Policy)

5.1. Cancellation by the Provider: in accordance with the Law of Georgia on Tourism, the Provider has the right to cancel the Tour if the minimum group size is not reached, notifying the Customer no later than 20 days before the start (for tours longer than 6 days). In this case, the Provider refunds 100% of the amount paid within 14 calendar days. The Provider does not reimburse the cost of flights bought by the Customer independently.

5.2. Cancellation by the Customer: the Customer has the right to withdraw from the Tour at any time. The deadlines for cancellation without penalties and the amount of costs withheld are set individually for each Tour and stated on the relevant page of the Website. If the page of a specific Tour does not state these terms, the following basic rules apply:

  • Cancellation more than 60 days before the start of the Tour — 100% of the amount paid is refunded (less costs actually incurred by the Provider, for example non-refundable hotel bookings or domestic tickets).
  • Cancellation 59 to 30 days before the start — the prepayment is withheld (in proportion to the booking costs).
  • Cancellation less than 30 days before the start of the Tour — the amount paid is not refunded.

6. Force majeure

6.1. The parties are released from liability for partial or complete failure to perform their obligations under this Contract if it results from circumstances of insurmountable force (force majeure) that arose after the Contract was concluded: natural disasters, military operations, border closures, epidemics, strikes, official bans by the authorities.

6.2. In the event of force majeure, the Provider undertakes to make every effort to move the Tour to other dates or to hold the Customer’s funds for future trips.

7. Dispute resolution

7.1. All disputes and disagreements are resolved through negotiations by sending an official claim to the Provider’s email: info@wildsoulroutes.com. Claims are reviewed within 14 calendar days.

7.2. If a dispute cannot be resolved amicably, it is subject to consideration by the courts of Georgia in accordance with the current legislation of Georgia and in the Georgian language.

8. Use of images and copyright to media materials

8.1. During the Tour, the Provider (or third parties engaged by the Provider) may take photos and videos of group members to document the journey. The Customer (Traveler) is aware of and agrees that their image may appear in such photo and video materials.

8.2. In accordance with the legislation of Georgia, the Customer gives the Provider full, unconditional and free consent to the publication, editing and further use of all photos and videos in which the Customer appears. The Provider has the right to use these materials on its Website, in social networks and messengers, and in any printed and promotional materials for marketing, advertising and promoting its services.

8.3. The exclusive copyright to all photographic, audio and video materials made by the Provider or its representatives during the Tour (including materials showing the Customer) belongs in full to the Provider from the moment of their creation. The Customer has no right to demand the removal of these materials or payment for their use, or to restrict the Provider’s rights to distribute them, unless otherwise agreed by the parties in writing before the start of the Tour.

9. Final provisions

9.1. This Contract is concluded in the form of a Public Offer in accordance with the legislation of Georgia. It does not require the parties’ signatures on paper and has full legal force.

9.2. The Contract enters into force upon the Customer’s acceptance (submitting a request on the Website and/or making a prepayment or payment) and remains in force until the parties have fully performed their obligations to organize and run the Tour.

9.3. In all matters not expressly provided for by this Contract, the parties are governed by the current legislation of Georgia.

9.4. The Provider reserves the right to unilaterally change the terms of this Offer by publishing a new version on the Website. Changes take effect upon publication and do not apply to Tours already paid for in full or in part by the Customer before such publication.

9.5. Electronic document exchange (correspondence by email and in messengers linked to the parties’ phone numbers) is recognized by the parties and has legal force in resolving disputes.
